COMPANY ADMINISTRATION

The majority of leasehold properties will be faced with various covenants, usually contained within the lease that set out the framework for the administration of the development. This legal framework is usually encapsulated in a ‘Limited Company’ (or Flat Management Company) and is the vehicle which binds all lessees together.

Flat Management Companies can be Limited either by share or guarantee but in either case the requirements to comply with Company Law are the same.

A Limited Company will have a set of rules known as the Memorandum & Articles of Association. This document sets out the rules for appointing officers e.g. Directors, Company Secretary; the powers of the company in respect of its operation; procedure for Annual General Meetings etc.

Whilst the recent changes in the Companies Act mean that you need not appoint a Company Secretary, Cleaver Property Management can assist with the following:

  • Maintaining a register of members, Directors and recording any changes
  • Filing the Annual Return
  • Issuing notice of meetings and the AGM
  • Taking minutes of meetings
  • Administration of share documentation, where applicable
  • Acting as Registered Office

Cleaver Property Management can take on this role to assist in the running of the Company and to ensure that the Company fulfils its obligations under the Companies Act.

MEETINGS

Cleaver Property Management would be prepared to attend Directors meetings, Annual General Meetings or Extraordinary General Meetings. The effective communication of decisions arising from such meetings is important. Our attendance at meetings can be linked to the recording of minutes and actions arising. Cleaver Property Management can then help with the production of the minutes and their distribution.

Cleaver Property Management will also help with arrangements for the AGM, in conjunction with the Secretary, preparing agenda's and distributing Accounts.

Cleaver Property Management can also assist with the arrangement of meetings; our offices being sited in the middle of Bearwood Lakes Golf Club.

PROJECT MANAGEMENT

Cleaver Property Management can attend to any major works for example external painting and monitor work against agreed specifications. Where applicable photographic evidence can be taken of any area of major concern. A separate fee may be charged dependant upon the complexity and value of the project to be undertaken.

INSURANCE

An important part of the management of your property is the adequate Insurance of the buildings and assets of the company.

Cleaver Property Management can call upon the services of a leading broker for the placement of Buildings Insurance, Directors & Officers Insurance & Engineering Insurance.

Cleaver Property Management Limited is an Appointed Representative of Bluefin Insurance Services Limited which is authorised and regulated by the Financial Services Authority.

Cleaver Property Management can effectively and efficiently deal with any claims that arise. This will include dealing with contractors, the Insurers and any appointed Loss Adjustors. We can also help advise on how best to deal with policy excesses and any recovery of any uninsured losses.

Cleaver Property Management can also assist with arranging valuations of properties and seeking advice on sums insured.
